Strict Scope of Work & Scope Creep Protection

ProxDigi provides custom digital engineering services strictly defined by written project specifications:

• Development work is strictly confined to the written quotation and requirements confirmed prior to project commencement.
• Any feature, page, animation, integration, or structural change requested after project confirmation is legally classified as "Additional Scope" and billed as an independent work order.
• Domain registrations, third-party server hosting, premium API subscriptions, and third-party payment gateway merchant account fees are the client's sole financial and legal responsibility.

Electronic Contract Validity (ETO 2002)

• Pursuant to the Electronic Transactions Ordinance, 2002 (ETO 2002), contracts, proposals, approvals, and acceptances conveyed electronically through official WhatsApp (+92 317 3944452), official email (team@proxdigi.com), or website portals hold full legal validity and are binding under the Contract Act, 1872.
• Physical signatures are not required to enforce these Terms in Pakistani courts.
• Agreement commences upon the client providing confirmation to proceed.

"Pay After Delivery" Finality & Acceptance

• Under ProxDigi's "Pay After Delivery" guarantee, the client is provided a full live working demonstration on our server to thoroughly inspect, review, and test the website before making payment.
• Irrevocable Legal Sign-off: The moment payment is remitted, such payment constitutes conclusive, irrevocable, and final legal confirmation that the project has been completed to 100% satisfaction.
• All payments must be remitted strictly to the authorized bank account of CEO: Fahad Ali Gohar. No individual developer or freelancer is authorized to accept funds.

Client Responsibilities & Abandonment Policy

Clients are legally obligated to facilitate timely project delivery:

• Client must supply accurate content, text, images, logos, and server credentials promptly.
• Client warrants that all materials provided do not infringe third-party copyrights or trademark laws of Pakistan.
• Project Abandonment Rule: If a client becomes unresponsive or fails to provide required credentials or feedback for fourteen (14) consecutive calendar days, ProxDigi reserves the legal right to mark the project as delivered or archived. Resumption requires an administrative reactivation fee.

Development Process & Quality Control

• Development commences immediately following requirement lock-in.
• A specialized team is deployed (Developer, Quality Assurance Monitor, and Project Lead).
• Interim development progress is demonstrated on live staging environments.
• Client feedback is reviewed systematically against the agreed initial specification brief.

Delivery Timelines & Delays

• Estimated turnaround (1-3 days for standard websites, 5-10 days for custom portals) is provided in good faith.
• Timelines are contingent upon prompt client responsiveness. Delays caused by the client's failure to provide assets, third-party hosting downtimes, or API gateway approvals shall not be attributed to ProxDigi.
• Force majeure events (national internet outages, natural disruptions) extend delivery periods proportionately.

Revisions & Prohibition of Endless Changes

• Minor cosmetic adjustments within original specifications are included during the active staging phase.
• Prohibition of Infinite Demands: Once a website is approved and paid for, requests for arbitrary, indefinite, or new modifications are strictly disallowed.
• Post-delivery change requests, structural overhauls, extra pages, or layout re-designs require a separate formal work order with additional compensation.

Non-Solicitation of ProxDigi Team

• Clients are strictly prohibited from soliciting, poaching, or making private off-channel agreements with ProxDigi developers, staff, or contractors.
• Any attempt to circumvent ProxDigi constitutes unlawful interference with contract under Pakistani civil law.
• ProxDigi accepts zero responsibility for any damages, scam, or loss resulting from unofficial private interactions with team members.

Intellectual Property & Copyright (Ordinance 1962)

• Pursuant to the Copyright Ordinance, 1962 of Pakistan, full intellectual property and custom front-end ownership transfer to the client ONLY upon 100% payment clearance.
• Until full payment is settled, ProxDigi retains complete proprietary lien and legal ownership of all code, databases, and staged designs.
• In case of non-payment or disputed payment, ProxDigi holds the unconditional legal right to suspend the website and revoke code licenses without notice.

Third-Party Services & Technical Limitations

• ProxDigi is not liable for disruptions, service termination, or data loss caused by third-party hosting companies, domain registrars, or cloud platforms.
• ProxDigi holds no responsibility for policy rejections, account holds, or transaction declines by payment processors (Stripe, PayPal, JazzCash, EasyPaisa).
• Search engine ranking changes due to periodic Google algorithm updates are outside contractor control and disclaimed.

Strict Non-Refundable Policy

• Due to the customized nature of digital programming, labor hours expended, and because the client fully tests and inspects the live website prior to remitting payment, all payments are strictly non-refundable and non-reversible.
• No chargebacks, reversals, or dispute claims shall be entertained after code delivery or payment remittance.
• Any unauthorized financial reversal will be legally treated as unlawful breach of contract under the Contract Act, 1872.

30-Day Support Warranty & Exclusions

• Complimentary 30-day post-launch support is limited strictly to rectifying bugs originating directly from ProxDigi's original delivered code.
• Warranty Exclusions: Support does not cover errors arising from:
  • Client or third-party editing of files, code, or databases.
  • Breaking updates of third-party plugins, CMS versions, or PHP versions.
  • Server failures, hosting account suspension, or cyber attacks on client infrastructure.

Anti-Harassment, Defamation & PECA 2016 Enforcement

• ProxDigi maintains an absolute zero-tolerance policy against extortion, abusive language, blackmail, or threats of frivolous consumer complaints or negative reviews.
• Any unlawful threat or online defamatory statement against ProxDigi, its CEO Fahad Ali Gohar, or team members will be immediately prosecuted under:
  • Section 20 of Prevention of Electronic Crimes Act, 2016 (PECA) (Offenses Against Dignity).
  • Section 24 of PECA 2016 (Cyber Stalking & Harassment).
  • Sections 499 & 500 of Pakistan Penal Code (PPC) (Criminal Defamation).
• ProxDigi will pursue civil defamation damages of up to PKR 10,000,000 in Multan civil courts against offending parties.

Governing Law, Exclusive Jurisdiction & Mediation

• Governing Law: This agreement and all client disputes are governed solely by the Laws of the Islamic Republic of Pakistan.
• Exclusive Jurisdiction: Both parties irrevocably agree that all legal proceedings, suits, or claims shall fall exclusively under the jurisdiction of the Competent Courts in Multan, Punjab, Pakistan.
• Mandatory Pre-Litigation Mediation: Prior to filing any external complaint or suit, the client must serve a 30-day written grievance notice to team@proxdigi.com for executive mediation with CEO Fahad Ali Gohar.
